1. About these terms
These terms apply when Redecorate Ltd supplies painting, decorating, spray finishing, limewash, microcement, micro metal or related services. Redecorate Ltd is registered in England and Wales under company number 16987788. Our contact email is info@redecorate.ltd.
The contract consists of the accepted quotation or proposal, any agreed specification or programme, these terms and any written changes agreed afterwards. If a quotation contains a specific term that conflicts with these general terms, the quotation takes priority for that point.
If you are acting for a company, developer, landlord, managing agent or other organisation, you confirm that you have authority to enter into the contract on its behalf.
2. Quotations, scope and booking
Quotation validity
A quotation is valid for 14 days from its date unless it states a different period. A quotation is based on the information and access available when it is prepared. It may be revised if the scope, specification, condition of the surface, access, programme or material cost changes before acceptance.
What is included
The work, areas, preparation, coating system, materials and exclusions are those stated in the quotation or proposal. Anything not stated is not included. Measurements and quantities may be estimates until the relevant areas can be fully inspected.
Acceptance and booking
A contract is formed when you accept the quotation in writing, pay any stated deposit or instruct us to start, whichever happens first. Dates are not secured until the stated booking requirements have been met. Any deposit and staged payment arrangement will be shown in the quotation or invoice.
Changes and additional work
A change to the agreed work, including additional preparation or repair, must be agreed before it is carried out where reasonably possible. We will confirm the effect on price and timing. Urgent work needed to protect the property or make the site safe may be dealt with immediately where waiting for approval would cause avoidable loss, but we will try to contact you first.
3. Cancellation and postponement
Consumer cancellation rights
If you are a consumer and the contract is made entirely at a distance or away from our business premises, you will normally have 14 days from the day after the contract is made to cancel without giving a reason. You can cancel by sending a clear statement to info@redecorate.ltd.
If you expressly ask us to begin during the cancellation period and then cancel before the work is complete, you must pay a reasonable amount for the work supplied up to cancellation. If the service is fully completed during the cancellation period after your express request and acknowledgement, the statutory right to cancel may end. We will provide any cancellation information or form required by law when the contract is made.
Nothing in these terms reduces a consumer's statutory rights.
Cancellation outside a statutory right
If you cancel or postpone outside a statutory cancellation right, we may charge for work already completed, materials ordered for the project, reasonable supplier or subcontractor cancellation costs and other losses that we cannot reasonably avoid. We will take reasonable steps to reduce those costs.
Cancellation or suspension by us
We may suspend or end the work if payment is overdue, the site is unsafe, access is not provided, another trade prevents progress, instructions are unlawful, or continuing would expose people or property to unreasonable risk. We will give notice and a reasonable opportunity to resolve the issue where the circumstances allow.
4. Carrying out the work
Standard of service
We will carry out the services with reasonable care and skill. We will use the specified products or suitable equivalents where a product is unavailable, subject to your approval where a change materially affects appearance, performance or price.
Access and working conditions
You must provide safe and reasonable access, electricity, water and welfare facilities where required. Unless the quotation says otherwise, work areas must be cleared of personal possessions, fragile items and unnecessary furniture before the start date. You must tell us about known hazards, asbestos, alarms, access restrictions and any site rules before work begins.
Protection and other trades
We will provide the protection stated in the quotation and take reasonable care of the property. You are responsible for keeping people, pets and other trades away from wet coatings, equipment and restricted work areas. We are not responsible for damage caused by interference with incomplete work or by another person removing protection without agreement.
Existing surfaces and hidden defects
Decorating work depends on the condition and compatibility of the underlying surface. Hidden damp, contamination, movement, failed previous coatings, defective plaster, timber resin, corrosion or other defects may only become apparent after work starts. We will report significant issues and explain any additional work or change in system required. We are not responsible for failure caused by an underlying defect that we could not reasonably identify or that you chose not to remedy.
Colours, samples and specialist finishes
Colour and texture can vary with lighting, substrate, batch, application method and the surrounding finishes. Digital images and small samples are guides only. Limewash, decorative coatings, microcement and micro metal are hand-applied finishes with natural movement and variation. Approval of a sample or sample area confirms acceptance of that character.
Customer-supplied materials
If you supply a product or require a particular system, you are responsible for its suitability unless we have expressly confirmed otherwise in writing. We may refuse to apply a product that we reasonably believe is unsafe, incompatible or unlikely to perform. Additional labour or delay caused by missing, faulty or unsuitable customer-supplied materials may be charged.
Programme and delays
Start and completion dates are estimates unless expressly stated to be fixed. We are not responsible for delay caused by weather, drying conditions, material shortages, access problems, hidden defects, variations, late decisions, other trades or events outside our reasonable control. We will keep you informed and take reasonable steps to limit delay.
5. Price and payment
The price, deposit, staged payments and payment dates are stated in the quotation or invoice. Unless expressly stated otherwise, prices include the work and materials described but exclude additional work and costs arising from changes or unforeseen conditions.
Invoices must be paid by the due date shown. If an undisputed amount is overdue, we may pause the work and revise the programme after giving notice. Business customers may also be charged statutory interest and recovery costs where the Late Payment of Commercial Debts legislation applies.
You must raise a genuine invoice query promptly and pay any undisputed part on time. Ownership of unfixed materials supplied specifically for the project remains with us until they have been paid for in full, but risk passes when they are delivered to the site.
6. Completion, inspection and defects
When the work is substantially complete, you should inspect it in normal lighting and identify any items that do not match the agreed scope. We will return to correct agreed workmanship defects within a reasonable time. Minor items that do not prevent normal use do not justify withholding payment for the completed work.
Please report a suspected defect as soon as reasonably possible and allow us a fair opportunity to inspect and put it right before arranging work by someone else. This does not affect any remedy you have under consumer law.
Normal wear, accidental damage, structural movement, water ingress, condensation, substrate failure, cleaning damage, misuse and work altered by others are not workmanship defects. Any separate written warranty applies only on the terms and for the period stated in that warranty.
7. Responsibility and insurance
Nothing in these terms excludes or restricts liability where it would be unlawful to do so. This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and a consumer's statutory rights.
We are responsible for loss or damage that is a reasonably foreseeable result of our breach of contract or failure to use reasonable care and skill. We are not responsible for loss that was not reasonably foreseeable when the contract was made, or for loss caused by your act or omission, another contractor, an existing defect or an event outside our reasonable control.
For a business customer only, and to the fullest extent permitted by law, we are not liable for loss of profit, loss of business, business interruption or indirect or consequential loss. Any liability term stated in a project-specific commercial contract will take priority.
8. Photography, complaints and general terms
Project photography
We may ask to photograph work for project records or marketing. We will take reasonable steps not to publish names, addresses, personal possessions or other identifying details. Tell us in writing before completion if you do not want project photographs used for marketing. Our handling of personal information is explained in the Privacy Policy.
Complaints
If there is a problem, contact info@redecorate.ltd with the project address, a clear description and relevant photographs. We will review the matter, respond within a reasonable time and, where appropriate, arrange an inspection.
Third-party rights
No person other than you and Redecorate Ltd has a right to enforce the contract, except where the contract expressly says otherwise.
Severability and waiver
If any term is found unlawful or unenforceable, the remaining terms continue to apply. A delay in enforcing a right does not waive that right.
Governing law
The contract is governed by the law of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer resident elsewhere in the United Kingdom may bring proceedings in the courts available to them under applicable law.
